Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Naksalite Shopify application and our marketing site at naksalite.com (together, the "Service"), provided by Keel Analytics LLC ("we", "us", "our"). By installing or using Naksalite, you agree to these Terms.

1. Who can use the Service

The Service is for Shopify merchants and their authorized staff. You represent that you (a) are the merchant of record or an authorized agent thereof, and (b) have the authority to bind your business to these Terms.

2. Your Shopify account

Naksalite is installed through Shopify. Your use of the Service is also subject to Shopify's Terms of Service and Shopify App Store EULA. If those conflict with these Terms, the Shopify terms prevail with respect to the Shopify platform.

3. Subscription & billing

• The Service is offered on a monthly subscription basis. Charges are processed through Shopify's app billing.
• Prices are listed on our Pricing page and in the Shopify App Store and may be changed with 30 days' notice.
• Trials: new installs receive a 14-day Pro trial. At the end of the trial you'll automatically move to the paid plan selected (or Starter/free if none).
• Refunds: we offer a full refund for the first 14 days after the first paid charge — email support@naksalite.com.

4. Acceptable use

You agree not to:

• reverse-engineer, probe, or attempt to gain unauthorized access to the Service;
• use the Service to violate any law or third-party right;
• share credentials or resell access to the Service without our written consent;
• use the Service to process data you are not lawfully entitled to process.

5. Your data

You retain all rights in the data you provide or that Shopify makes available to the Service on your behalf ("Your Data"). You grant us a limited, non-exclusive license to process Your Data solely to provide and improve the Service. Our Privacy Policy describes how we handle Your Data.

6. Intellectual property

Naksalite, including its code, design, content, and trademarks, is owned by Keel Analytics LLC and our licensors. These Terms grant you a limited, non-transferable, non-exclusive right to use the Service while your subscription is active. No other rights are granted.

7. Third-party services

The Service relies on Shopify and other sub-processors (see our Privacy Policy). We are not responsible for the availability or content of third-party services.

8. Service availability

We target 99.9% monthly uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in-app where practicable.

9. Warranty disclaimer

The Service is provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, Keel Analytics LLC's aggregate liability arising out of or related to these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) USD $100. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.

11. Indemnity

You agree to indemnify and hold harmless Keel Analytics LLC from and against any third-party claim arising from (a) Your Data, (b) your violation of these Terms, or (c) your violation of any applicable law.

12. Termination

You may terminate at any time by uninstalling the App from your Shopify admin. We may suspend or terminate access for breach of these Terms, non-payment, or risk to our platform or other users, with notice where practicable. Upon termination, the provisions that by their nature should survive (IP, warranty disclaimer, liability caps, indemnity, governing law) will survive.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced in-app or via email at least 15 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. The exclusive venue for any disputes shall be the state and federal courts in Delaware.
